Leib Orlanski of K & L Gates LLP and Richard English, in-house counsel with Ingram Micro, will lead the discussion to help in-house counsel control legal fees charged by outside counsel taxed with negotiating the Stock Purchase Agreement (SPA). They will help attendees determine whether outside counsel is spending too much time negotiating on clauses in the SPA that are of no consequence and not focusing enough time on the SPA provisions that will significantly affect the transaction. The program will discuss what is a standard, non-negotiable position in each of the main sections of the SPA and where there is room for negotiation – the pro-acquirer examples, the pro-target examples and the range of available market alternatives for each of the key sections in the SPA.
